Biography
Matthew Sherman has nearly 16 years of experience providing strategic corporate, financial and crisis communications counsel to companies involved in transactions and special situations, including friendly and unsolicited M&A, shareholder activism, proxy contests and other corporate crises. In 2012, Mr. Sherman won The M&A Advisor's "40 Under 40" Recognition Award, and in 2007, he was named to PR Week's inaugural "40 Under 40" List.

Mr. Sherman has recently advised a number of companies defending against activist investors and proxy contests, including: JAKKS (Clinton Group); Oshkosh (Icahn); Progress Software (Starboard, Praesidium); C.R. Mr. Sherman has played a major role in hundreds of special situations throughout his career. Among the notable recent M&A transactions on which he has advised, include: Motorola Mobility in its sale to Google; ACI Worldwide in its acquisition of S1 Corporation; Arch Chemicals in its sale to Lonza Group; PAETEC in its sale to Windstream; Academy Sports + Outdoors in its sale to KKR; Lawson Software in its sale to Golden Gate Capital and Infor; McCormick & Schmick's in its defense against an unsolicited offer from Landry's / Tilman Fertitta; Verigy in its sale to Advantest; CommScope in its sale to Carlyle; Novell in its sale to Attachmate; Ralcorp in its acquisition of American Italian Pasta; SYMYX in its sale to Accelrys; infoGroup in its sale to CCMP; SonicWALL and Entrust in their respective sales to Thoma Bravo; iBasis in its sale to Royal KPN; and Data Domain in its sale to EMC.

Other notable M&A transactions include: Terra Industries in its defense against an unsolicited offer from, and ultimate sale to, CF Industries; Motorola in its separation into two independent companies, sale of its wireless networks business to Nokia Siemens Networks, acquisition of Symbol Technologies, and spin-off and public offering of Freescale Semiconductor; McDermott in its separation into two independent companies; Vishay in its spin-off of Vishay Precision Group; Macquarie-led consortiums in the acquisitions of Duquesne Light Holdings and Puget Energy; CommScope in its acquisition of Andrew; Bausch & Lomb in its sale to Warburg Pincus; Ventas in its acquisition of Sunrise Senior Living REIT; Coeur d'Alene Mines in its acquisitions of Bolnisi Gold and Palmarejo Silver and Gold; NovaGold in its successful defense against Barrick Gold's unsolicited takeover; Constellation Brands in its acquisitions of Robert Mondavi and Vincor; and Taubman Centers in its successful defense against an unsolicited takeover from Simon Property Group and Westfield America.

He also provides ongoing IR and PR counsel to clients including: Energizer, Coinstar, J.M. Smucker, P.F. Chang's, Monster Worldwide and Motorola.

Previously, Mr. Sherman was a Vice President at Abernathy MacGregor Frank in the firm's M&A and crisis communications practice. Mr. Sherman holds an M.B.A. from Columbia Business School, and a B.A. in international relations and a B.A. in communications from the University of Pennsylvania.
