John A. Seethoff
Vice President, Deputy General Counsel
Mr. Seethoff is Vice President and Deputy General Counsel, Corporate, at Microsoft Corporation where for the past 10 years he has been responsible for managing the corporate secretary function, supervising securities law compliance,providing legal support to the company's board of directors and overseeing the Company's corporate governance policies and practices. He also manages a teamthat provides legal support to the Company's Finance and Operations functions and covers mergers, acquisitions and investments,benefits and executive compensation,corporate subsidiaries,commercial contracting, andreal estate and facilities. Before joining Microsoft, he was a partner in the Seattle office of K&L/Gates LLP where he represented businesses in a wide range of industries including technology, engineering, retailing, hospitality and real estate.
Mr. Seethoff is a member of the Washington and California bars and received his B.S., Accounting degree from the University of Washington and J.D. degree from the University of California at Los Angeles School of Law. He is the Chairman of the Society of Corporate Secretaries and Governance Professionals,and has chaired the Society'sPolicy Advisory and Nominating and Governance Committees and served on its Executive Steering Committee. Mr. Seethoff is a frequent speaker on corporate governance and securities topics.
